By using the Social Cues website, you consent to the data practices described in this statement.

Collection of your Personal Information

In order to better provide you with products and services offered, Social Cues may collect personally identifiable information, such as your:

      • First and Last Name
      • Mailing Address
      • E-mail Address
      • Phone Number

If you purchase Social Cues’s products and services, we collect billing and credit card information. This information is used to complete the purchase transaction.

We do not collect any personal information about you unless you voluntarily provide it to us. However, you may be required to provide certain personal information to us when you elect to use certain products or services. These may include:

      • registering for an account;
      • entering a sweepstakes or contest sponsored by us or one of our partners;

1. ACCEPTANCE OF TERMS

These Terms of Use (the “Terms”) constitute a legally binding agreement between you (“you” or “your”) and Social Cues Group LLC, doing business as Social Cues (“Social Cues,” “we,” “us,” or “our”), governing your access to and use of our website, platforms, applications, and related services (collectively, the “Site”), as well as the Booking and use of our Venues (the “Services”).

By accessing or using the Site or Services, submitting a Booking request, or otherwise engaging with a Venue, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Site or Services.

All policies, rules, guidelines, and instructions posted by Social Cues in connection with the Services are incorporated into these Terms by reference.

 

2. DEFINITIONS

For purposes of these Terms, the following capitalized terms have the meanings set forth below:

“Services” means the Site, Venue access, Bookings, and any related products, features, or services provided by Social Cues.

“Venue” means any space, room, or facility made available by Social Cues for reservation and use.

“Booking” means a confirmed reservation for a Venue accepted by Social Cues for a specified date and time period (the “Rental Period”).

“Hourly Rate” means the agreed rate for use of the Venue per hour or portion thereof, as set forth in the Booking confirmation or Agreement.

“Guest” means all individuals and vendors you invite, permit, or allow to enter the Venue during your Booking

“Guest Count” means the maximum number of individuals permitted in the Venue during a Booking as set forth in the Agreement.

“Venue Rules” means all posted or communicated operational, safety, occupancy, or conduct rules applicable to a Venue.

“Agreement” means the Booking confirmation, electronic contract, and any incorporated schedules, policies, or Venue Rules governing a Booking.

 

3. USER RESPONSIBILITIES AND RESTRICTIONS

3A.   General Compliance

    • You agree to comply with all applicable federal, state, and local laws and regulations in connection with your use of the Site, Services, and any Venue.

3B.   Prohibited Conduct

    • You agree not to:
      • provide false, misleading, or incomplete information;
      • impersonate any person or entity;
      • access or use another person’s account without authorization;
      • interfere with or disrupt the Site or Services;
      • collect personal or account information from others without consent.

3C.   Booking and Venue Use Obligations

    • You acknowledge and agree that:
      • Venues are provided in their existing condition subject to ordinary wear and operational limitations.
      • You will inspect the Venue at the start of your Rental Period and promptly notify Social Cues of any pre-existing damage or unsafe conditions.
      • If no notice is provided, the Venue will be deemed accepted “as-is,” to the extent permitted by law.
      • You will report any damage occurring during your Booking within a reasonable time after the Rental Period ends.
      • You are responsible for complying with all Terms and Venue Rules.
      • You are responsible for payment of any amounts arising from your use of the Venue or breach of these Terms.

3D.   Permitted Use

    • You shall not use, or permit others to use, the Venue for any unlawful, hazardous, or materially disruptive activity.

3E.   Responsibility for Guests

    • You are responsible for the conduct of all Guests, and for ensuring their compliance with these Terms and Venue Rules.

3F.   Occupancy Limits

    • You shall not exceed the Guest Count or posted maximum occupancy at any time.

3G.   Indemnification Acknowledgment

    • You acknowledge that these Terms include an indemnification obligation requiring you to defend, indemnify, and hold harmless Social Cues from claims, damages, liabilities, and expenses arising from your breach of these Terms or actions of your Guests.

4. BOOKINGS AND PAYMENT TERMS

4A.   Eligibility

    • You may request a Booking only if:
      • you are at least twenty-one (21) years of age; and
      • the Booking is lawful in your jurisdiction.

4B.   Personal Use Requirement

    • You must remain primarily responsible for the Booking, your Guests, and the Venue and you must be reasonably available during the Rental Period. Bookings may not be transferred, resold, or made on behalf of third parties without prior written approval from Social Cues.

4C.   Identity Verification

    • To make a Booking, you must successfully complete biometric identity and age verification before an Agreement will be issued to you.
    • We use a third-party service provider, Didit (Didit.me), to facilitate this verification process. Didit will verify your identity and confirm that you will be at least 21 years of age as of your rental date using government-issued identification documents and biometric data.
    • To complete this process, you must use a smartphone equipped with a camera. You acknowledge that Didit will require specific device permissions, including camera access, to capture your identification documents and a live facial scan or selfie.
    • By initiating the verification process, you provide your explicit, affirmative consent to the collection, processing, and retention of your biometric data by Didit. You also acknowledge that your use of Didit’s services is subject to Didit’s Terms of Service and Privacy Policy. Didit collects and processes your personal data, identification documents, and biometric data solely to provide Social Cues with verification results necessary to confirm identity and age eligibility and is not used for any other purpose. Biometric data is retained by Didit for a period of twelve (12) months for regulatory compliance, after which it is permanently and irretrievably deleted.
    • You acknowledge and agree that Social Cues does not collect, store, retain or otherwise control biometric identifiers or biometric information as defined by applicable law and receives only verification confirmation results from the provider. All biometric collection, processing, storage, retention, and deletion are performed solely by Didit.
    • Social Cues is not responsible for Didit’s independent privacy, security, retention, or processing practices, which are governed by Didit’s own terms and policies, except as required by applicable law.
    • Providing documentation that—following Didit verification and any subsequent review—is determined to be fraudulent, altered, misleading, or stolen will result in an immediate cancellation of your booking request. Social Cues reserves the right, in its reasonable discretion, to deny future booking requests from any individual who submits fraudulent, altered, misleading, or stolen identification documents.
    • If you cannot or choose not to use biometric verification, you may verify your identity by contacting Social Cues directly for alternatives. Alternative verification methods, if available, may require additional documentation and may delay contract issuance.

4D.   Payment Authorization

    • You must provide a valid credit or debit card at the time of Booking.
    • You authorize Social Cues to charge your payment method for:
      • Booking fees and balances
      • deposits
      • incidentals
      • damage costs
      • applicable fees under these Terms
    • The cardholder name must match the Booking name and identity verification. We do not accept mismatched payment methods or American Express.
    • We may require alternative payment methods (including bank transfer or Zelle) where fraud risk or chargeback risk is identified.
    • Customer expressly authorizes post-event charges for documented damages, cleaning fees, liquidated damages, overtime, and unpaid balances.

4E.   Booking Accuracy

    • You are solely responsible for ensuring the accuracy of your Booking details, including date, time, Venue selection, and Guest Count.

4F.   Rental Period

    • Access to the Venue begins and ends strictly at the scheduled Rental Period. No additional time is provided for setup, breakdown, or cleanup unless expressly stated in writing.

4G.   Fees and Payment Timing

    • All Booking fees must be paid in accordance with the terms provided at the time of Booking.
    • Except as expressly stated in these Terms or required by applicable law, Booking payments are non-refundable once a Booking is confirmed. This policy reflects the reservation-based nature of Venue availability and the allocation of time-specific resources.
    • Failure to timely pay any required amount may result in cancellation of the Booking without liability to Social Cues. In such cases, Social Cues may retain amounts paid to the extent reasonably related to losses incurred, including lost booking value, subject to applicable law.

4H.   Payment Schedule Enforcement

    • If a payment schedule applies, outstanding balances and deposits may be automatically charged on scheduled due dates.
    • Failure to complete payment may result in cancellation of the Booking and forfeiture of amounts already paid, subject to applicable law.

4I.   Agreement Requirement

    • All Bookings require execution of an electronic Agreement approved by Social Cues prior to confirmation.

4J.   Booking Confirmation

    • A Booking is confirmed only when:
      • identity verification is completed,
      • required payments are received,
      • the Agreement is executed, and
      • a confirmation is issued by Social Cues.

4K.   Incidental Deposit

    • All Bookings are subject to a refundable incidental deposit of $250 unless otherwise stated.
      • Deposits are held to cover damages, violations, or unpaid charges.
      • Deposits Deposits are generally refunded within five (5) business days after the Rental Period, less any applicable deductions. If a damage investigation, charge review, or claim assessment is ongoing, Social Cues may reasonably delay refund of all or a portion of the deposit until the review is completed.
      • Refunds may take up to ten (10) business days to reflect in your account depending on your financial institution.
      • If damages or charges exceed the deposit, you authorize additional charges to your payment method on file. Social Cues will provide reasonable documentation before charging damages exceeding the deposit.

4L.   Pricing and Guest Count Adjustments

    • Hourly Rates are based on the confirmed Booking details.
    • Increases to Guest Count prior to the Rental Period may result in an adjusted rate.
    • No refunds will be issued for reduced attendance or decreased Guest Count.

4M.   Overcapacity and Breach

    • Exceeding Guest Count may result in additional charges under the applicable Liquidated Damages Schedule and may result in termination of the booking for safety, legal compliance, or insurance requirements.

4N.   Extensions

    • Extensions are subject to availability and operational constraints and may be granted at Social Cues’ discretion, which shall not be unreasonably withheld.
    • Approved extensions will be charged at the applicable Hourly Rate.

4O.   Overtime

    • Unauthorized use beyond the Rental Period will be billed at two (2) times the applicable Hourly Rate per hour or portion thereof.

4P.   Advance Booking Terms

    • Bookings may be made up to thirty (30) days in advance at standard rates.
    • Bookings beyond this period will be priced based on maximum occupancy tier or other rate structures as determined by Social Cues.

 

5. REGULATIONS (HOUSE RULES)

5A.   General Conduct and Safety

    • You are responsible for the conduct, behavior, and actions of all Guests. All Guests under 18 years of age must be accompanied by a parent or legal guardian.
    • You and your Guests agree to comply with all applicable laws, rules, and Venue policies, and to conduct yourselves in a safe, respectful, and non-disruptive manner at all times.
    • You acknowledge that the Venue may be monitored by video surveillance for safety, security, and loss prevention purposes, to the extent permitted by applicable law. Where required by law, notice of such monitoring will be provided. Surveillance is not monitored in restrooms or private changing areas. Surveillance footage may be used for security, safety, operational enforcement, dispute resolution, charge assessment, insurance claims, and legal proceedings.
    • We reserve the right, acting in our reasonable discretion exercised in good faith, to refuse entry to, or remove from the Venue, any individual whose conduct is unsafe, disruptive, unlawful, or otherwise materially inconsistent with these Terms.
    • You must keep all access codes, keys, and security credentials confidential and immediately notify us if they are compromised or shared without authorization.
    • Venues are not staffed for medical response. In the case of an emergency, you must contact emergency services by dialing 911. Social Cues has no obligation or authority to provide medical assistance beyond reasonable emergency response.

5B.   Capacity Restrictions

    • You agree not to exceed the contracted Guest Count or Venue maximum occupancy at any time. Exceeding occupancy limits may result in immediate termination of the Booking where required for safety, law compliance, or insurance obligations.
    • Total occupancy may be determined by surveillance, access logs, staff observation, or other reasonable evidence.

5C.   Use Restrictions

    • You agree to use the Venue solely for lawful purposes and in accordance with its intended use.
    • The following are strictly prohibited in the Venue:
      • Illegal activity of any kind
      • Weapons, explosives, fireworks, or hazardous materials
      • Open flames, candles, fog machines, or smoke machines
      • Smoking, vaping, hookah use, or drug use inside the Venue
      • Gambling or wagering activities where prohibited by law
      • Unauthorized ticketed events or commercial resale activity

5D.   Venue Condition and Property Care

    • Venue Inspection and Acceptance
      • You acknowledge that the Venue is a private event space and not a supervised recreational facility.
      • At the commencement of the Rental Period, you agree to inspect the Venue to promptly notify Social Cues of any condition you reasonably believe presents a safety hazard. If no such notice is provided before use of the Venue, the Venue shall be deemed accepted as reasonably suitable for its intended purpose, except where prohibited by applicable law.
      • You accept the Venue in its then-existing condition, reasonable wear and tear excepted, and acknowledge that the Venue may contain furniture, fixtures, equipment, stairs, flooring transitions, recreational amenities, electrical devices, and other ordinary conditions commonly present in commercial event spaces.
      • You agree Social Cues has made no representation or warranty that the Venue is suitable for any particular event, activity, or purpose.
    • Assumption of Risks Associated with Venue Use
      • You acknowledge that participation in social gatherings, private events, and recreational activities involves inherent risks that cannot be entirely eliminated.
      • To the fullest extent permitted by law, you voluntarily assume all ordinary and inherent risks arising from your use of the Venue and the presence of your Guests, including risks associated with:
    • movement throughout the Venue;
    • use of furniture, seating, tables, décor, fixtures, audiovisual equipment, games, pool tables, and other amenities;
    • food and beverage service and consumption;
    • alcohol consumption or intoxication;
    • slips, trips, falls, collisions, crowd movement, dancing, physical activity, and interactions among Guests;
    • the actions, omissions, negligence, intoxication, or misconduct of Guests or third parties;
    • conditions created by decorations, personal property, vendors, entertainers, contractors, equipment, cables, furniture placement, or event setup;
    • ingress to and egress from the Venue;
    • transportation to and from the Venue; and
    • any activities organized, hosted, or permitted by you during the Rental Period.
      • You acknowledges that Social Cues does not supervise Guests, monitor Guest conduct, provide security services, control alcohol consumption, or manage event activities during private Bookings.
    • Responsibility for Conditions Created During the Rental Period
      • You are solely responsible for maintaining reasonably safe conditions within the Venue during the Rental Period to the extent such conditions arise from your activities or the activities of your Guests.
      • Without limitation, to the fullest extent permitted by law, you shall be solely responsible for all claims asserted by your Guests, invitees, vendors, contractors, entertainers, or attendees arising from:
    • spilled food or beverages;
    • wet floor;
    • overcrowding;
    • decorations, displays, furniture arrangements, or temporary installations;
    • extension cords, equipment, personal property, or vendor equipment brought into the Venue;
    • overcrowding or exceeding permitted occupancy;
    • alcohol consumption;
    • interactions among Guests;
    • failure to comply with Venue Rules; or
    • any condition created, modified, introduced, or permitted by you or your Guests.
      • You shall promptly address such conditions where reasonably possible and immediately notify Social Cues of any incident involving injury, property damage, or an unsafe condition.
    • Incident Reporting
      • Any injury, illness, medical emergency, property damage, security incident, police response, fire alarm activation, or other material safety event occurring during the Rental Period must be reported to Social Cues as soon as reasonably practicable and, whenever possible, before departure from the Venue.
      • Failure to timely report an incident may impair Social Cues’ ability to investigate the matter and may be considered in evaluating any subsequent claim to the extent permitted by applicable law.
      • You agree to cooperate with any reasonable investigation relating to an incident occurring during your Booking.
    • Release for Ordinary Risks
      • TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND WAIVE ALL CLAIMS AGAINST SOCIAL CUES ARISING OUT OF OR RELATING TO PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR OTHER LOSSES OCCURRING DURING THE RENTAL PERIOD OR ARISING FROM USE OF THE VENUE, EXCEPT TO THE EXTENT DIRECTLY CAUSED BY SOCIAL CUES’ GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR LIABILITY THAT CANNOT LEGALLY BE WAIVED.

YOU ACKNOWLEDGE THAT THIS SECTION IS A MATERIAL PART OF THE PARTIES’ AGREEMENT AND THAT THE BOOKING FEES CHARGED BY SOCIAL CUES REFLECT THIS ALLOCATION OF RISK.

    • Nothing in this Agreement shall be construed to release Social Cues from liability that cannot legally be waived or limited under applicable law.

5E.   Guest Behavior and Conduct Rules

    • You and your Guests must not engage in behavior that is unlawful, dangerous, harassing, discriminatory, or materially disruptive to the Venue, neighboring properties, or other occupants.
    • The following activities are not permitted:
      • Violence or threats of violence
      • Sexual conduct in public areas or conduct deemed inappropriate for a shared commercial venue setting
      • Excessive noise or nuisance behavior outside the Venue or in common areas
      • Blocking entrances, exits, or shared building areas
    • All Guests must comply with posted signage, staff instructions, and safety requirements.

5F.   Alcohol, Food, and Personal Items

    • You are responsible for all personal property brought into the Venue. We are not liable for loss, theft, or damage of personal items.
    • Where permitted, you may bring food and beverages into the Venue, provided they are used responsibly and in compliance with applicable law.
    • If alcohol is present during the Rental Period, you assume sole responsibility for monitoring consumption by your Guests and ensuring compliance with all applicable laws.
    • You shall not permit service or consumption of alcohol by minors or visibly intoxicated persons.
    • You are solely responsible for arranging transportation or other safe means of departure for any Guest who may be impaired.
    • Social Cues does not supervise alcohol service, monitor intoxication levels, or assume responsibility for Guest conduct resulting from alcohol consumption.

5G.   Photography, Recording, and Public Content

    • You acknowledge that Guests may take photographs or videos during the Booking.
    • We may repost or share content that is publicly available and tagged or clearly identifying the Venue, for promotional purposes, unless prohibited by applicable law or you request removal.
    • Where required, you or your Guests may request removal of content by contacting us at the designated contact email.

5H.   Compliance, Enforcement, and Termination

    • You are responsible for any actual damages caused by you or your Guests, including repair, replacement, and reasonable restoration costs resulting from negligence, misuse, or violation of these Terms.
    • Where practical, Social Cues may, at its reasonable discretion, provide notice and a good-faith opportunity to cure before assessing damages.
    • We may suspend or terminate access to the Venue if:
      • These Terms are materially breached
      • Occupancy or safety limits are exceeded
      • Illegal or unsafe activity occurs
      • Property damage risk is imminent
    • In such cases, we may require immediate departure from the Venue. Additional charges, if any, will be determined based on the nature and severity of the breach, Agreement terms, and any applicable law.

5I.   Clean-Up and Departure

    • You agree to vacate the Venue by the end of your scheduled Rental Period.
    • Overtime use without prior authorization may result in additional charges at the applicable overtime hourly rate as stated in your Booking Agreement.
    • You agree to leave the Venue in substantially similar condition as received, reasonable wear and tear excepted.
    • Any injury, medical emergency, property damage, police response, or safety incident must be reported before departure.

5J.   House Rules (Operational Guidelines)

    • The following operational rules apply to all Bookings:
      • No smoking, vaping, hookah use, or drug use inside the Venue
      • No DJs or live music performances
      • No PA systems, speakers, or amplified sound beyond Company-provided equipment
      • No ticket sales or open to public events
      • No food or drinks on the pool table
      • No sitting or standing on the pool table or any furniture not intended for such use
      • Large furniture (e.g. pool table, sofas, bars, tv stands) cannot be moved or removed
      • Nothing can be attached to the walls, ceiling, or furniture
      • No open flames, cooking, or pyrotechnics
      • No confetti, glitter, or similar materials
      • No beer pong or similar high-mess activities
      • No paint & sip or similar activities
      • No obstruction of entrances, exits, or shared building areas
      • Noise must be kept at a reasonable level, especially during entry and exit
      • Bag all trash and leave the venue in the same condition you received it
      • Ensure the door is fully closed and securely locked upon exit
    • We may update or supplement these rules from time to time for safety or operational needs. Material changes will not apply retroactively to confirmed Bookings unless reasonably necessary for safety, legal compliance, insurance requirements, or building requirements.

5K.   Enforcement and Damages

    • You agree to be responsible for actual damages caused by you or your Guests, including but not limited to:
      • Property damage or excessive cleaning costs
      • Repair or replacement of Venue property due to misuse or negligence
      • Reasonable costs arising from violation of law or municipal regulations during the Booking
    • Any charges for damage or additional services will be limited to reasonable and demonstrable costs incurred.
    • Social Cues may recover either applicable liquidated damages or actual damages for the same harm, but not both.
    • Social Cues may rely on surveillance footage, electronic access records, communications, photographs, videos, witness statements, vendor reports, and staff observations in investigating violations of these Terms.
    • Social Cues may terminate a Booking for cause when there has been a material breach of these Terms, safety concerns, or unlawful activity. See section 7F for details.

5L.   Exhibit A — Liquidated Damages Schedule (Reasonable Pre-Estimates of Damages)

The parties agree that the following liquidated damages reflect reasonable estimates of administrative, operational, and loss-of-use impacts based on historical experience and are not intended as penalties. The parties acknowledge that the liquidated damages amounts were negotiated in anticipation of administrative costs, business interruption, increased insurance exposure, staffing requirements, regulatory risk, and reputational harm.

Social Cues will apply these charges in a consistent and proportionate manner based on the nature and severity of the violation.

Liquidated damages shall only apply where actual damages would be difficult or impracticable to determine at the time of breach, and shall not apply where actual damages are readily ascertainable or where application would result in a duplicative recovery.

Where actual damages exceed the amounts below, Social Cues may recover actual damages to the extent permitted by law, provided that recovery is not duplicative.

A1.       Occupancy, Safety, and Access Violations

Rationale: These violations materially increase safety risk, staffing intervention time, and potential regulatory exposure.

      • Exceeding contracted Guest Count limit: $250 per incident
      • Exceeding contracted Guest Count and Venue occupancy limit: $500 per incident
      • Tampering with locks, access systems, or security devices: $500 per incident
      • Blocking exits, fire lanes, or emergency access paths: $500 per incident

A2.       Property Damage and Misuse

Rationale: Reflects typical cleaning, restoration labor, downtime, and loss of future booking readiness.

      • Minor property damage (fixtures, furniture misuse, non-structural items): $250–$1,000 depending on severity
      • Damage to specialty equipment (e.g., pool table felt, AV equipment misuse): $500 per affected item
      • Unauthorized movement of furniture requiring reset/restoration: $250
      • Damage caused by prohibited activities (e.g., smoke, confetti, liquids on equipment): $500–$1,000 depending on impact

A3.       Cleaning, Restoration, and Turnover Delays

Rationale: Reflects lost revenue opportunity and staff redeployment costs.

      • Excessive cleaning beyond standard turnover conditions: $250
      • Hazardous cleanup requiring specialized treatment (smoke, bodily fluids, etc.): $500
      • Damage preventing same-day or next-day booking availability: $1,500 per impacted booking slot

A4.       Noise, Conduct, and Neighbor Impact

Rationale: Reflects reputational impact, building management complaints, potential regulatory exposure, and possible landlord penalties.

      • Unauthorized use of DJ, amplified sound systems or live performance setup: $500
      • Excessive noise or nuisance outside Venue requiring intervention: $250 per incident
      • Congregation/loitering causing building disturbance complaints: $250 per incident

A5.       Unauthorized Activities

Rationale: Reflects heightened insurance risk, potential regulatory exposure, commercial misuse, licensing exposure, and emergency response costs.

      • Smoking, vaping, or hookah use inside Venue: $500
      • Open flame, fireworks, or hazardous materials: $1,000
      • Illegal activity or law enforcement intervention required: $1,000 minimum plus actual costs incurred
      • Ticketed or commercial event activity: $1,000

A6.       Overtime and Extended Use

Rationale: Reflects immediate loss of subsequent booking revenue, staffing disruption and possible landlord penalties.

      • Unauthorized holdover beyond the Rental Period end time: 2x applicable hourly rate per hour or portion thereof

A7.       Security, Property Protection, and Compliance Costs

Rationale: These represent direct, measurable economic losses.

In addition to the above, Guest shall be responsible for:

      • Actual cost of repair or replacement of damaged property
      • Reasonable labor costs associated with cleanup, repair, or restoration
      • Reasonable third-party vendor fees required for remediation
      • Documented lost revenue from cancelled or displaced bookings caused by damage or closure

Any actual damages recovered under this section shall be reduced by any liquidated damages previously assessed for the same underlying conduct.

A8.       Limitation on Application

Liquidated damages will not be applied where:

      • the breach is de minimis and causes no measurable harm, or
      • application would result in duplication of actual damages for the same harm

A9.       Dispute and Documentation Standard

Any charges assessed under this Exhibit will be supported by reasonable documentation, which may include:

      • surveillance footage
      • photographs or video evidence
      • electronic access records
      • client communication records
      • staff observations and reports
      • vendor invoices or estimates
      • staffing logs
      • booking calendar disruption records

6. MUSIC POLICY

6A.   Private Event Classification; Non-Commercial Use

    • The Venue is licensed solely as a private, non-commercial, invite-only rental space. It is not a public performance venue, nightclub, or entertainment establishment.
    • You expressly acknowledge and agree that:
      • All Bookings must be private, closed, invite-only gatherings limited to friends, family, and invited guests only;
      • The Venue may not be used for any public-facing, ticketed, or revenue-generating event, including but not limited to ticket sales, cover charges, promotional admission, or pay-to-enter gatherings;
      • Any deviation from private use constitutes a material breach of this Agreement.
    • Guests may play recorded music strictly for private enjoyment during the Rental Period, subject to compliance with applicable law.
    • You are solely responsible for ensuring that music usage remains strictly private and non-commercial in nature.

6B.   Prohibited Audio Uses and Equipment Restrictions

    • The following uses are strictly prohibited unless expressly authorized in writing by Social Cues:
      • DJs (professional or amateur)
      • Live musical performances
      • Ticketed or promoted musical events
      • Amplified sound systems beyond provided equipment
      • External speakers, mixers, CDJs, turntables, soundboards, amplifiers, or similar equipment
    • Only Company-provided audio systems may be used. Unauthorized equipment may be removed without notice.

6C.   Guest-Provided Music; Platform Compliance

    • Guests may connect personal devices to the Venue’s provided system (e.g., Chromecast or equivalent) solely for playback of personal, non-commercial music content.
    • You acknowledge and agree that:
      • All streaming or playback must originate from lawful personal accounts
      • You are solely responsible for compliance with the terms of any streaming platform used
      • Social Cues does not control, monitor, or license guest-provided music content
      • Social Cues assumes no responsibility, to the fullest extent permitted by law, for copyright clearance, licensing compliance, or infringement arising from guest use

6D.   Licensing Structure; Private Event Positioning

    • The Venue is operated as a private rental space not open to the public. Accordingly:
      • No admission is charged;
      • No tickets are sold;
      • No public advertising or promotion of entry is permitted;
      • Access is restricted to invited guests only.
    • You acknowledge and agree that:
      • You are solely responsible for any deviation from private-use status;
      • Any conduct that transforms the event into a public performance or commercial use may trigger licensing obligations;
      • You shall indemnify and hold harmless Social Cues for any claims, assessments, fines, penalties, or enforcement actions arising from your breach of this Section.

6E.   Company-Provided Music Services

    • Social Cues may, in its reasonable discretion, provide access to licensed background music services (e.g., Soundtrack or equivalent).
    • You acknowledge that:
      • Such services are provided as an ancillary amenity only
      • Social Cues does not perform, broadcast, or curate music on your behalf
      • You control all playback decisions during your Rental Period
      • Licensing coverage is limited to the provider’s scope and does not extend to guest devices or external content

6F.   Karaoke Services

    • Where provided, karaoke access (e.g., via Karafun Professional or equivalent) is offered solely as a complimentary amenity for private use.
    • You agree that:
      • Karaoke use is restricted to private, non-commercial gatherings
      • No admission, ticketing, or monetization of karaoke use is permitted
      • You may not use karaoke services in connection with public or promotional events

6G.   Breach and Enforcement

    • Any violation of this Music Policy constitutes a material breach of the Agreement and may result in:
      • Immediate termination of the Booking;
      • Removal of guests from the Venue;
      • Assessment of damages, fines, or cleanup costs;
      • Indemnification obligations under this Agreement;
      • Recovery of legal fees and enforcement costs where permitted by law.

6H.   Copyright Responsibility Allocation

    • To the maximum extent permitted by law:
      • You assume full responsibility for all music played during the Rental Period;
      • You assume responsibility for obtaining any licenses required as a result of your use of the Venue beyond the permitted private-use restrictions described herein;
      • Social Cues disclaims all responsibility, to the fullest extent permitted by law, for third-party copyright claims arising from guest-controlled content.

 

7. CANCELLATIONS, RESCHEDULING & FORCE MAJEURE

7A.   Booking Policy

    • All Bookings are subject to the cancellation and refund terms set forth in this Section.
    • Except as expressly stated in these Terms or required by applicable law, Booking payments are non-refundable once a Booking is confirmed. This policy reflects the reservation-based nature of Venue availability and the allocation of time-specific resources.
    • Refundable incidentals deposits are governed separately under Section 4K.
    • Nothing in this Section limits any non-waivable consumer rights under applicable law.

7B.   No Rescheduling or Venue Transfers

    • Once confirmed:
      • Bookings may not be rescheduled;
      • Bookings are non-transferable to a third-party;
      • Venue transfers requested by you are not permitted.
    • Any modification request shall be treated as a cancellation and new Booking request unless otherwise approved by Social Cues in writing.
    • Social Cues may, in its reasonable discretion, accommodate modification requests but has no obligation to do so.

7C.   No-Show and Late Arrival

    • The Rental Period begins and ends at the times specified in the Booking confirmation.
    • No refunds, credits, extensions, or rescheduling will be provided for:
      • Late arrival;
      • Failure to appear;
      • Reduced attendance;
      • Early departure;
      • Failure to utilize all or part of the Rental Period.
    • You assume all responsibility for arriving and accessing the Venue during the Rental Period.

7D.   Social Cues Cancellation or Relocation

    • If Social Cues is unable to provide the reserved Venue due to operational, maintenance, safety, legal, or other circumstances beyond its reasonable control, Social Cues may:
      • Provide a comparable replacement Venue;
      • Offer an alternative date or time; or
      • Issue a refund of amounts paid for the affected Booking.
    • The foregoing remedies constitute your sole and exclusive remedy for cancellation by Social Cues.

7E.   Force Majeure

    • Neither party shall be liable for delay, interruption, or failure to perform obligations under this Agreement to the extent caused by a Force Majeure Event.
    • A “Force Majeure Event” means an event occurring after Booking confirmation that:
      • was not reasonably foreseeable at the time of Booking;
      • is beyond the affected party’s reasonable control; and
      • makes performance impossible, illegal, or materially impracticable.
    • Force Majeure Events may include:
      • Government Action – Government-declared emergencies, mandatory closure orders, evacuation orders, public health emergency orders, or other governmental actions that legally prohibit use of the Venue.
      • War and Civil Disturbance – War, invasion, terrorism, civil unrest, riot, insurrection, or similar events occurring within the Venue’s geographic area.
      • Natural Disasters – Floods, hurricanes, earthquakes, fires, severe storms, utility failures, or other natural disasters directly affecting the Venue.
      • Infrastructure Failures – Widespread failures of transportation, utilities, telecommunications, or other essential infrastructure that materially prevent operation of the Venue.
    • The following are expressly excluded from Force Majeure protection:
      • Personal illness, injury, or death;
      • Family Member or Guest illness, injury, or death;
      • Scheduling conflicts;
      • Transportation delays affecting only you or your Guests;
      • Reduced attendance or guest cancellations;
      • Event cancellation by you;
      • Loss of expected business, revenue, or attendance;
      • Travel advisories that do not legally prohibit travel;
      • Expired, lost, or unavailable travel documents;
      • Personal financial hardship;
      • Weather conditions reasonably foreseeable for the season and location unless accompanied by an official closure, evacuation order, or transportation shutdown.
      • The parties acknowledge that COVID-19 and its known variants are foreseeable conditions and shall not constitute Force Majeure Events unless a new government order directly prohibits use of the Venue.
    • If a Force Majeure Event prevents use of the Venue during the Rental Period, Social Cues, as determined in good faith based on operational circumstances and nonrecoverable costs incurred, may:
      • Reschedule the Booking;
      • Issue a credit toward a future Booking; or
      • Refund amounts paid for the affected Booking.
    • No party shall be liable to the other for consequential, incidental, indirect, or lost-profit damages arising from a Force Majeure Event.

7F.   Company Right to Cancel for Cause and Future Booking Restrictions

    • Where reasonably practicable under the circumstances, Social Cues may provide notice and an opportunity to cure before exercising its rights under this Section; however, Social Cues shall have no obligation to provide an opportunity to cure where immediate action is reasonably necessary to protect safety, security, property, legal compliance, insurance coverage, building requirements, business operations, or business reputation.
    • Social Cues may immediately cancel a Booking, deny entry, terminate Venue access, remove Guests, and/or refuse future Booking requests if:
      • You or any of your Guests have materially breached these Terms or the Venue Rules;
      • You have provided false, fraudulent, or misleading information;
      • You have failed to make required payments or amounts owed;
      • You have failed to cooperate with identity verification, fraud-prevention procedures, security requirements, insurance requirements, occupancy controls, or reasonable requests made by Social Cues relating to safety, legal compliance, or Venue operations;
      • Social Cues determines that the actual or planned Booking materially differs from the event description, Guest Count, event type, intended use, or other information provided during the booking process;
      • Social Cues determines that the Booking presents a material and reasonably identifiable risk to safety, security, legal, reputational, insurance, landlord, building management, operational, or property-damage risk, or poses a material risk of harm to persons, property, business operations, or the Venue’s relationship with its landlord, insurer, neighbors, or building management;
      • Social Cues determines that you, your Guests, or anyone acting on your behalf intend to use the Venue in a manner that would violate these Terms, applicable law, insurance requirements, building rules, or occupancy limits;
      • Social Cues determines that you, your Guests, or anyone acting on your behalf have previously caused, or were responsible for, material property damage, unpaid charges, fraud, or significant violations of Venue Rules;
      • Social Cues determines that you or any of your Guests have engaged in threatening, abusive, harassing, discriminatory, or unlawful conduct toward staff, contractors, Guests, or third parties;
      • Social Cues determines that you or anyone acting on your behalf have knowingly made false statements of fact concerning Social Cues or otherwise engaged in wrongful, fraudulent, defamatory, or unlawful conduct reasonably likely to cause material reputational harm to Social Cues;
      • Social Cues determines that cancellation, denial of entry, or termination is necessary to comply with insurance requirements, landlord requirements, building policies, governmental directives, or legal obligations.
    • Nothing in the foregoing shall restrict good-faith reviews, truthful statements, communications with governmental authorities, participation in legal proceedings, or other conduct protected by applicable law.
    • Upon cancellation for cause, Social Cues may retain amounts previously paid to the extent permitted by law and reasonably related to losses incurred, and may pursue any additional remedies available under this Agreement or applicable law.
    • Social Cues reserves the right, in our discretion, to remove any Guest through venue personnel, security personnel, or law enforcement when reasonably necessary to enforce these Terms, protect persons or property, address safety concerns, or comply with legal, insurance, landlord, or building requirements.

8. Limitation of Liability

8A.   Liability Cap

    • To the fullest extent permitted by applicable law, the aggregate liability of Social Cues, its affiliates, owners, members, managers, officers, employees, contractors, agents, and licensors arising out of or relating to the Site, Services, Venue, or any Booking shall not exceed the total amount actually paid by you to Social Cues for the Booking giving rise to the claim. This limitation applies cumulatively to all claims arising from the same Booking. The foregoing limitation shall not apply to claims involving gross negligence, willful misconduct, fraud, or liabilities that cannot be limited by law.

8B.   Exclusion of Certain Damages

    • To the fullest extent permitted by applicable law, Social Cues shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, business interruption, loss of expected attendance, or loss of use, arising out of or relating to the Site, Services, Venue, or any Booking, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.
    • Social Cues shall not be liable for interruptions caused by building management, landlord actions, utility providers, elevator outages, internet outages, or common-area restrictions beyond Social Cues’ reasonable control.

8C.   Personal Property

    • You acknowledge that all personal property, equipment, decorations, food, beverages, merchandise, gifts, or other items brought to the Venue by you or your guests are brought at your sole risk. Social Cues is not responsible for any loss, theft of, or damage to such property except to the extent caused by Social Cues’ gross negligence or willful misconduct.

8D.   Third-Party Services

    • Social Cues is not responsible for the acts, omissions, products, services, or conduct of any third party, including payment processors, identity-verification providers, internet service providers, streaming services, vendors, contractors, or other users.

8E.   Commercial Use

    • Social Cues venues are intended for private, non-commercial use. To the extent you use the Services or Venue for a business, commercial, or revenue-generating purpose, Social Cues shall not be liable for any business losses, including lost profits, lost revenue, loss of contracts, loss of business opportunity, or business interruption.
    • You waive, and shall cause its insurers to waive, any rights of subrogation against Social Cues.

8F.   Assumption of Risk

    • You acknowledge that use of the Venue involves inherent risks associated with gatherings, events, food and beverage consumption, personal property, and interactions with third parties. You voluntarily assume all such risks to the fullest extent permitted by law.
    • To the fullest extent permitted by law, you release Social Cues from claims arising from ordinary negligence relating to your use of the Venue.

8G.   Non-Waivable Rights

    • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability arising from Social Cues’ gross negligence, willful misconduct, fraud, or any other liability that cannot legally be waived.

 

9. Indemnification

9A.   Indemnification

    • You agree to defend, indemnify, and hold harmless Social Cues and its affiliates, owners, members, managers, officers, employees, contractors, agents, licensors, landlords, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, fines, penalties, losses, costs, and expenses, including reasonable attorneys’ fees and costs to the fullest extent permitted by applicable law, arising out of or relating to:
      • your Booking or use of the Site, Services, or Venue;
      • the acts, omissions, conduct, or negligence of you or any guest, attendee, invitee, vendor, contractor, entertainer, or other person present at or associated with your Booking;
      • any breach of these Terms, Venue Rules, Booking Agreement, or applicable law;
      • any fraud, misrepresentation, false information, or inaccurate information provided by you;
      • personal injury, death, property damage, theft, nuisance, noise complaints, building violations, occupancy violations, governmental citations, fines, penalties, or enforcement actions arising from or related to your Booking;
      • damage to the Venue, building, common areas, fixtures, furnishings, equipment, neighboring property, or the property of any third party;
      • the service, possession, consumption, or distribution of alcohol or any other regulated substance during your Booking;
      • any allegation that music, media, performances, content, streaming, broadcasting, or other activities conducted during your Booking violated copyright, licensing, publicity, privacy, intellectual property, or similar rights;
      • any chargeback, payment dispute, payment reversal, collection action, or unauthorized transaction relating to your Booking; or
      • any claim brought by a guest, attendee, vendor, neighboring tenant, governmental authority, copyright holder, performing rights organization, or other third party arising from or relating to your Booking or use of the Services, except to the extent caused by Social Cues’ gross negligence, willful misconduct, or violation of law.

9B.   Defense and Cooperation

    • You agree to cooperate fully in the defense of any claim subject to this Section. Social Cues may participate in the defense of any such claim through counsel of its choosing at its own expense.
    • If Social Cues determines that a claim may be subject to indemnification under this Section, Social Cues may assume control of the defense and resolution of the matter, and you agree to reimburse all reasonable attorneys’ fees, expert fees, investigation costs, arbitration fees, court costs, and related expenses to the fullest extent permitted by applicable law and to the extent the claim is ultimately determined to be subject to your indemnification obligations.

9C.   Survival

    • Your obligations under this Section survive the completion, cancellation, expiration, or termination of any Booking and remain enforceable until all covered claims have been fully resolved.

9D.   Exclusive Responsibility for Guests

    • For purposes of this Section, the acts and omissions of your Guests shall be deemed your acts and omissions.

10. General

10A.  Determinations and Discretion

    • Any determinations by and discretion of Social Cues shall be made in good faith and in a commercially reasonable manner based on available information, including communications, observations, records, and other evidence reasonably available at the time.

10B.  Entire Agreement

    • These Terms, together with the Privacy Policy, Venue Rules, Booking Agreement, and any written instructions or policies posted on the Site, constitute the entire agreement between you and Social Cues regarding your use of the Site, Services, and any Booking. Any prior or contemporaneous agreements, communications, or understandings are superseded.

10C.  Updates to Terms

    • We may update or revise these Terms from time to time. If a change is material, we will provide reasonable notice prior to its effective date. The determination of what constitutes a material change shall be made in good faith by Social Cues.
    • By continuing to access or use the Site or Services after the effective date of any updated Terms, you agree to be bound by the revised Terms. If you do not agree, you must discontinue use of the Services. Confirmed Bookings remain governed by the Terms in effect at the time the Booking was confirmed unless otherwise required by law.

10D.  Changes to Services

    • We may modify, suspend, or discontinue any aspect of the Services, including Venues, amenities, availability, pricing, or promotions, at any time, subject to any confirmed Booking obligations already accepted by Social Cues.

10E.  No Waiver

    • Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

10F.  Severability

    • If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall remain in full force and effect.

10G.  Assignment

    • You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Social Cues may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, sale of assets, or other corporate transaction, upon reasonable notice to you, including notice posted on the Site or sent electronically.

10H.  Governing Law

    • These Terms and any dispute arising out of or relating to them, the Services, or any Booking shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of laws principles.

10I.  Chargebacks and Payment Finality

    • You agree that, except as expressly stated in these Terms or required by applicable law, all payments, charges and fees related to the Booking are non-refundable.
    • Any fraudulent or bad faith chargeback, payment reversal, or payment dispute initiated by you or on your behalf shall constitute a material breach of these Terms. In such event, Social Cues may pursue recovery of the disputed amount, administrative fees, collection costs, and reasonable attorneys’ fees to the fullest extent permitted by applicable law.
    • Nothing in this Section limits your rights under applicable consumer protection laws.

10J.  Dispute Resolution and Arbitration

    • BY AGREEING TO THESE TERMS YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
    • You agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to the Services or any Booking by contacting Social Cues in good faith.
    • If the dispute cannot be resolved informally, it shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) in Kings County, New York, before a single arbitrator selected in accordance with AAA Consumer Arbitration Rules.
    • Arbitration may occur virtually unless otherwise required by AAA Consumer Arbitration Rules.
    • The arbitration shall be conducted in English and governed by the applicable AAA Consumer Arbitration Rules, except as modified by this Section. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
    • Either party may bring qualifying claims in small claims court.
    • In any action, arbitration, collection proceeding, or enforcement proceeding arising from these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs to the fullest extent permitted by law.
    • Nothing in this Section prevents either party from seeking temporary or injunctive relief in a court of competent jurisdiction to protect property, enforce venue rules, or prevent irreparable harm.

10K.  Service of Process

    • You consent to receive notices relating to disputes, arbitration proceedings, and enforcement matters electronically at the email address provided.

10L.  Language

    • These Terms may be translated for convenience. In the event of any inconsistency, the English version shall control.
