CANCELLATION, MODIFICATIONS & FORCE MAJEURE POLICY

This Cancellation, Modifications & Force Majeure
Policy (the “Policy“) is incorporated into and forms part of
the Social Cues Terms of Use & Booking Agreement (the “Agreement“).
1. BOOKING MODIFICATIONS
Requests to modify a confirmed Booking, including
changes to the Rental Period, Guest Count, event type, or other Booking
details, require Social Cues’ prior written approval.
Social Cues may approve or deny any requested
modification in its sole discretion.
Approved modifications may result in revised pricing,
deposits, fees, operational requirements, or updated booking documentation.
2. CLIENT CANCELLATIONS
Except as otherwise required by applicable law or
expressly approved in writing by Social Cues, all Booking payments are
non-refundable once a Booking has been confirmed.
Client acknowledges that Social Cues reserves Venue
availability, staffing, scheduling, and operational resources in reliance upon
each confirmed Booking. Accordingly, cancellation by Client does not relieve
Client of payment obligations except as expressly provided in this Policy or
required by law.
A request to cancel a Booking does not constitute
acceptance of the cancellation by Social Cues.
3. RESCHEDULING & VENUE CHANGE REQUESTS
Once confirmed, Bookings may not be rescheduled and
Venue changes are generally not permitted and shall be treated as a
cancellation and new Booking request unless otherwise approved by Social Cues
in writing.
Social Cues may, in its reasonable discretion,
accommodate rescheduling or venue change requests but has no obligation to do
so and may approve or deny any request in its sole discretion.
If approved, Social Cues may require:
•
payment of any
applicable price difference;
•
payment of
reasonable administrative fees;
•
execution of
updated booking documentation; and
•
compliance with
any revised pricing, policies, or booking requirements applicable to the new
Rental Period.
Approval of one rescheduling or venue change request
does not obligate Social Cues to approve future requests.
4. CANCELLATION OR MODIFICATION BY SOCIAL CUES
Social Cues may suspend, postpone, modify, relocate,
substitute, shorten, or cancel a Booking where reasonably necessary due to:
•
operational
requirements;
•
safety or security
concerns;
•
legal or
regulatory requirements;
•
insurance
requirements;
•
landlord or
building requirements;
•
emergency
maintenance or repairs;
•
unsafe building
conditions; or
•
other legitimate
business reasons.
Where appropriate, Social Cues may, in its sole
discretion:
•
provide a
comparable Venue;
•
modify the
Booking;
•
reschedule the
Booking;
•
issue a booking
credit;
•
issue a partial or
full refund; or
•
cancel the
Booking.
Nothing in this Policy obligates Social Cues to provide
any particular remedy.
5. FORCE MAJEURE
Neither party shall be liable for any failure to
perform an obligation under the Agreement to the extent that performance is
materially prevented or substantially impaired by a Force Majeure Event. For
the avoidance of doubt, a Force Majeure Event affecting only Client or Guests
does not excuse Client’s payment obligations except as expressly provided in
this Policy or where required by applicable law.
For purposes of the Agreement and this Policy, a “Force
Majeure Event” means an event beyond the reasonable control of the
affected party that materially prevents or substantially impairs that party’s
performance of its material obligations under the Agreement, including events
arising from:
•
natural causes,
such as severe weather, flood, fire, earthquake, or other natural disasters;
•
public health or
governmental action, including epidemics, pandemics, public health emergencies,
governmental orders, restrictions, or other governmental actions;
•
civil or security
events, including war, terrorism, civil unrest, riots, or other public safety
emergencies;
•
failures of
utilities, infrastructure, or essential services materially affecting the Venue
or Social Cues’ ability to perform, including interruptions affecting
electricity, water, internet, telecommunications, or other essential building
services;
•
building or
operational conditions, including structural issues, emergency repairs, unsafe
conditions, landlord actions, building system failures, condemnation,
evacuation orders, or other conditions materially affecting the safe, lawful,
or practical operation of the Venue;
•
labor or supply
disruptions, including labor disputes, labor shortages, supply chain
interruptions, or shortages of materials or services; or
•
any other
comparable event or circumstance beyond the reasonable control of the affected
party that materially affects the availability, legality, safety, or
operational capability of the Venue.
If a Force Majeure Event materially affects a Booking,
Social Cues may, in its sole discretion:
•
provide a
comparable Venue;
•
modify the
Booking;
•
reschedule the
Booking;
•
issue a booking
credit;
•
issue a partial or
full refund; or
•
cancel the
Booking.
A Force Majeure Event affecting Client does not relieve
Client of its payment obligations unless the same Force Majeure Event
materially prevents Social Cues from performing its obligations under the
Agreement, applicable law requires otherwise, or Social Cues expressly agrees
in writing to an alternative remedy.
A Force Majeure Event does not include circumstances
affecting only Client or Guests that do not materially impair Social Cues’
ability to perform the Agreement, including personal illness, scheduling
conflicts, financial hardship, reduced attendance, travel delays,
transportation disruptions, flight cancellations, vehicle breakdowns, passport
or visa issues, weather affecting only Client’s or Guests’ ability or
willingness to travel to or attend the Venue, or other similar personal or
travel-related circumstances.
6. LIMITATION OF REMEDIES
Except as otherwise required by applicable law,
Client’s sole remedies under this Policy are those expressly provided herein.
Nothing in this Policy obligates Social Cues to provide
a refund, credit, rescheduling, or other accommodation except where Social Cues
expressly elects to do so or where required by applicable law.
7. NO CONSEQUENTIAL DAMAGES
Except to the extent required by applicable law, Social
Cues shall not be liable for any indirect, incidental, consequential, special,
exemplary, punitive, or lost-profit damages arising from or relating to any
cancellation, Booking modification, rescheduling request, or Force Majeure
Event.
8. SURVIVAL
This Policy shall survive the completion, cancellation,
expiration, or termination of a Booking to the extent necessary to enforce the
rights and obligations of the parties.
