MUSIC & ENTERTAINMENT POLICY

This Music & Entertainment Policy is incorporated
into and forms part of the Social Cues Terms of Use & Booking Agreement
(the “Agreement”).
1. PRIVATE GATHERING REQUIREMENT
The Venue is operated exclusively as a private,
invite-only gathering space.
The Venue is not operated as:
•
a public
performance venue;
•
a nightclub;
•
a concert venue;
•
a live music
venue;
•
a public
entertainment establishment; or
•
a place of public
assembly for open-admission events.
All Bookings must remain private gatherings limited to
invited Guests.
Client acknowledges that maintaining the private,
non-public nature of the gathering is a material condition of the Booking and
of the pricing offered by Social Cues.
Client shall not advertise, market, promote, organize,
or operate an event in any manner that converts the Venue into a public event,
public performance, commercial entertainment event, admission-based event, or
similar activity.
2. PUBLIC PROMOTION RESTRICTIONS
Client shall not:
•
invite attendance
by the general public;
•
advertise
unrestricted public admission;
•
sell tickets or
admission;
•
charge cover fees;
•
permit
unrestricted public access; or
•
otherwise create
the appearance of a public event.
Client shall not create, publish, advertise, or promote
the Booking through:
•
Eventbrite;
•
Meetup;
•
Facebook Events;
•
Partiful;
•
Dice;
•
Splash;
•
EventCreate; or
•
any similar public
event platform,
where such use is inconsistent with the private,
invite-only requirements of this Policy.
Social Cues may require modification or removal of
promotional materials that reasonably appear inconsistent with the Venue’s
private use status.
3. PROHIBITED ENTERTAINMENT ACTIVITIES
The following are expressly prohibited:
•
professional DJs;
•
amateur DJs;
•
live musical
performances;
•
ticketed
entertainment events;
•
promoted public
entertainment events;
•
commercial
entertainment activities;
•
amplified sound
systems not provided by Social Cues;
•
external speakers;
•
soundboards;
•
audio mixers;
•
amplifiers;
•
CDJs;
•
turntables; and
•
similar
professional audio or entertainment equipment.
Unauthorized equipment may be disconnected, removed
from service, prohibited from use, or required to be removed from the Venue.
4. PERMITTED MUSIC USE
Guests may play recorded music during the Rental Period
using playback systems approved or provided by Social Cues.
Permitted use is limited to:
•
private listening;
•
non-commercial
use; and
•
invited Guests
attending the Booking.
All music and entertainment activities must comply with
applicable law, this Policy, and the Agreement.
5. GUEST-CONTROLLED PLAYBACK
Where permitted by Social Cues, Guests may connect
personal devices to approved playback systems.
Client acknowledges that:
•
streaming or
playback must originate from lawfully authorized accounts;
•
Client is
responsible for complying with the terms of any streaming or music service
utilized;
•
Social Cues does
not select, control, curate, or monitor Guest-controlled content;
•
Social Cues does
not provide music licensing for Guest-controlled playback; and
•
Social Cues
assumes no responsibility for copyright compliance arising from music or other
content selected by Client or Guests.
6. COPYRIGHT AND LICENSING RESPONSIBILITY
Client acknowledges that maintaining the Booking as a
private gathering is a material condition of this Agreement.
Client shall not:
•
sell admission;
•
charge cover fees;
•
publicly advertise
admission to the Venue;
•
permit
unrestricted public access; or
•
otherwise conduct
the event in a manner that creates public-performance licensing obligations.
To the fullest extent permitted by law, Client is
solely responsible for obtaining any licenses, permissions, authorizations,
royalties, clearances, or other rights required as a result of:
•
Client’s
activities;
•
entertainment
activities conducted during the Booking;
•
use of copyrighted
content;
•
Guest-controlled
playback; or
•
any
public-performance obligations created by Client or Guests.
7. COMPANY-PROVIDED ENTERTAINMENT SERVICES
Social Cues may make available streaming services,
playlists, karaoke services, background music, televisions, audiovisual
equipment, or other entertainment amenities.
These amenities are provided solely as a convenience to
Clients and Guests.
Social Cues does not guarantee:
•
uninterrupted
availability;
•
compatibility with
Guest devices;
•
availability of
any particular service or platform;
•
performance of
third-party services; or
•
suitability for
any particular event.
Entertainment amenities may be modified, suspended, or
discontinued at any time without liability.
8. KARAOKE
Where karaoke services are provided, they are offered
solely for the private, non-commercial enjoyment of invited Guests.
Karaoke services may not be used in connection with:
•
public events;
•
ticketed events;
•
promotional
events;
•
commercial
entertainment activities; or
•
revenue-generating
activities.
9. INDEMNIFICATION
Client shall defend, indemnify, and hold harmless
Social Cues and its owners, members, managers, employees, contractors, agents,
landlords, affiliates, successors, and assigns from and against any claims,
demands, liabilities, fines, penalties, assessments, damages, losses, costs,
and expenses, including reasonable attorneys’ fees, arising out of or relating
to:
•
music played
during the Rental Period;
•
entertainment
activities conducted during the Booking;
•
copyrighted
content used by Client or Guests;
•
Guest-controlled
streaming, broadcasting, recording, or playback activities;
•
Client’s failure
to maintain the private, invite-only status required by this Policy; or
•
any claim by a
copyright owner, performing rights organization, licensing organization, or
similar entity arising from Client’s use of the Venue.
10. ENFORCEMENT
Violation of this Policy may result in:
•
immediate
cessation of the activity;
•
disconnection or
removal of unauthorized equipment;
•
denial of entry;
•
removal of Guests;
•
termination of the
Booking;
•
assessment of
fees, damages, or liquidated damages under the Agreement and Damage & Fee
Schedule; and
•
denial of future
Bookings.
Social Cues may rely upon surveillance footage,
photographs, videos, access records, communications, witness statements,
incident reports, staff observations, and other reasonably reliable evidence
when investigating violations of this Policy.
