Protecting your private information is our priority. This Statement of Privacy applies to www.socialcues.com, and Social Cues Group LLC and governs data collection and usage. For the purposes of this Privacy Policy, unless otherwise noted, all references to Social Cues Group LLC include www.socialcues.com and Social Cues. The Social Cues website is a venue booking site. By using the Social Cues website, you consent to the data practices described in this statement.

Collection of your Personal Information

In order to better provide you with products and services offered, Social Cues may collect personally identifiable information, such as your:

      • First and Last Name
      • Mailing Address
      • E-mail Address
      • Phone Number

If you purchase Social Cues’s products and services, we collect billing and credit card information. This information is used to complete the purchase transaction.

We do not collect any personal information about you unless you voluntarily provide it to us. However, you may be required to provide certain personal information to us when you elect to use certain products or services. These may include:

      • registering for an account;
      • entering a sweepstakes or contest sponsored by us or one of our partners;
      • signing up for special offers from selected third parties;
      • sending us an email message;
      • submitting your credit card or other payment information when ordering and purchasing products and services.

1. Acceptance of Terms

These Terms of Use (the “Terms”) constitute a legally binding agreement made between you (“you”, “your”) and Social Cues Group LLC, doing business as Social Cues (“Social Cues”, “we”, “us”, or “our”), concerning your access to and use of the http://www.socialcues.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). These Terms set out how to book a Social Cues venue, use our services, and describe any associated rights and responsibilities. Any instructions, guidance and similar information found on other parts of the Site also apply to how you use the Site and Services and form part of these Terms.
You agree that by requesting a Reservation, you have read, understood, and agreed to be bound by all these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE OUR SERVICES AND YOU MUST DISCONTINUE USE OF THE SITE IMMEDIATELY. By booking our Venue(s), you are confirming that you have read the Terms and agree to be bound by them.

2. Definitions

These Terms contain some capitalized words which have been given specific meanings. Some of these defined Terms are listed below:

2A. “Services” means collectively the Site, Venue(s), and Reservation(s).
2B. “Venue” means a location, space, or room operated by Social Cues.
2C. “Reservation” means the confirmed booking by you of a Social Cues Venue for a specified block of time also known as “rental period”.
2D. “Force Majeure Event” refers to any unforeseen event(s) beyond our reasonable control which precludes our ability to complete your Reservation. See section 6 for details.
2E. “Hourly Rate” means the contracted rate paid per hour or any fraction thereof for use of the Venue.
2F. “Guest Count” means the number of people permitted in the Venue during your Reservation.

3. Restrictions and Obligations

3A. You agree to comply with all applicable laws and regulations, and all rules applicable to the use of the Site and the Services.
3B. You agree not to: impersonate any other person or entity; falsely describe or otherwise misrepresent yourself (including your age and personal circumstances); falsely describe your affiliation with another person or entity; use or attempt to use another’s Account; solicit personal information (including passwords and banking information) from another person.
3C. You acknowledge, agree and undertake: to inspect any Social Cues Venue as your Reservation starts and notify us of any damage immediately otherwise you accept the Venue ‘as is’; to notify us of any damage which is incurred during your Reservation within 1 hour of the end of your Reservation; not to breach any of the terms and pay any fees or fines incurred during or as a result of your Reservation.
3D. The Terms contain an indemnity (an obligation to compensate us) at clause 8 which requires you to compensate us for any loss, damage, liability, expenses, and costs (including reasonable legal fees) which we or any third party incur resulting from your breach of these Terms generally.

4. Reservations

4A. You may only request a Reservation: If you are twenty-one (21) years of age or older; If it is lawful for you to do so.
4B. You are required to be present in the Venue for the duration of your Reservation. You are not permitted to make a Reservation for or transfer a Reservation to another person.

4C. To make a Reservation, we require you to provide us with valid government issued identification matching your name. If the name associated with the payment method is different than your name we also require the card holder to provide valid government issued identification, contact information including address, phone number and email address and written authorization stating that they understand and agree to the terms and conditions of payment and authorize the use of their card for your Reservation specifying the amount of the charges and details of your Reservation including date, reservation name and venue.

4D. To make a Reservation, you are required to have a credit card(s) on file and authorize us to charge said card(s) for any and all remaining balances, deposits for incidentals, incidentals, damages, fees, fines and/or penalties. Social Cues does NOT accept American Express. In the event your Reservation or transaction history with Social Cues arises suspicions of fraud, deception, or intent to dispute or withhold payment, or if transactions are declined multiple times, or if you dispute any transaction with your bank, we may at our sole discretion require any and/or all future payments to be completed via Zelle.

4E. It is your sole responsibility to ensure you have booked the correct Social Cues venue, the correct start/end times, and Guest Count.
4F. Access to the Venue(s) begins and ends at the start and end time of your Reservation. Venues are booked by the hour and provide no allowance for delivery, setup, breakdown or cleanup outside of the hours booked for your Reservation.
4G. You shall pay the full fee or deposit and payment schedule if applicable upon requesting a Reservation. Payments may only be made by credit or debit card and must be made by the named cardholder – no other payment methods will be accepted. All payments are non-refundable with the exception of deposits for incidentals and Force Majeure Events.
4H. If you have a payment schedule, the remaining balance and deposit for incidentals will be automatically processed to the authorized credit card(s) on file by us on the contracted due date unless payments have been settled prior or alternative arrangements have been made by you and accepted by us. Failure to pay the remaining balance or make alternative arrangements that have been accepted by us on or before the contracted due date may result in the cancellation of your booking and forfeiture of any deposits paid.
4I. Our acceptance of your Reservation will take place when you have paid and have provided us with a valid government issued ID and have received confirmation of your Reservation by email.
4J. All reservations must be booked with the sales team and have a signed agreement on file.
4K. By making a Reservation you agree to the associated Hourly Rate noted in the confirmation and/or digital agreement. If the turnout is less than expected the day of your Reservation or your Guest Count decreases prior to the Reservation date your Hourly Rate will not be adjusted or refunded. In the event your Guest Count increases prior to your Reservation you will be offered an updated Hourly Rate which will supersede your previous Hourly Rate upon acceptance by you.
4L. In the event of unauthorized breach of Guest Count you will incur the applicable fines and penalties listed in section 5B. If the number of guests exceeds the maximum capacity of the venue during your reservation, your reservation may be terminated without refund.
4M. All reservations are subject to a $250 refundable deposit for incidentals.

4M.1. The deposit for incidentals is due at the later of: the time of booking or the due date of remaining balance payment.
4M.2. The deposit for incidentals will be released in its entirety within 5 business days of the Reservation date minus any deductions for incidentals, fees, theft and/or damage. Note that refunds can only be released back to the original form of payment and may take up to 10 business days to reflect on your account depending on your financial institution.

4M.3. In the event the deposit for incidentals is insufficient to cover incidentals, fees, theft and/or damage, you authorize us to charge the remainder to the credit card(s) on file.
4M.4. You agree to these terms and understand that anything that jeopardizes the space, future rentals, or causes any additional expense will result in a partial or full loss of Your deposit for incidentals.

4N. Reservations may be extended based on availability and at the sole discretion of Social Cues. If granted, the extension rate is your Hourly Rate for each hour or any fraction thereof regardless of the number of people present in the Venue at the time.
4O. Unauthorized overtime (failure to vacate Venue at the Reservation end time without a confirmed extension) will be charged double your Hourly Rate for each hour or any fraction thereof regardless of the number of people present in the Venue.

4P. Reservations open 30 days in advance for all guest counts and associated hourly rates. Reservations more than 30 days in advance are booked at the max capacity hourly rate regardless of the guest count.

5. Regulations

5A. Social Cues wants you and your guests to have the best possible experience when booking our Venues. To help us achieve our goal of a safe environment for everyone, we ask that you follow our House Rules. When booking any of our Venues you hereby accept and affirm you will abide by the House Rules as indicated below as well as any other clauses within these Terms:

5A.1. You are responsible for the safety, conduct, actions, and behavior of all person(s) and/or vendor(s) who accompany you or are allowed to access a Social Cues venue during your Reservation. Any attendees under 18 years old must be accompanied by a parent or legal guardian. You and anyone you allow into the Venue consent to audio and video recording. Please be aware that our security team monitors our CCTV 24/7. You must ensure that you and all such persons accompanying you shall keep confidential any entry codes provided to enable you to access the premises of a Social Cues, and to let us know immediately if such entry codes are disclosed to any other person. We reserve the right to exclude any unruly person(s) from the Reservation at our sole discretion and without liability.
5A.2. You agree not to conduct, plan, or execute any gatherings in excess of your contracted guest count. You shall follow all Government guidance / laws applicable at the time of your Reservation and only attend Social Cues in numbers lower than any the lessor of the terms of your Reservation or the limit for numbers of people meeting together indoors as set out in the Government guidance / laws applicable at the time of your Reservation. You agree to vacate the premises of a Social Cues by the end of the scheduled Reservation time. Refusal to leave the Venue at the end of your Reservation is considered trespassing and will be reported to the authorities. WHEN LEAVING THE VENUE, RESPECT OUR NEIGHBORS. DO NOT LOITER OR CONGREGATE ON THE STREET OR IN FRONT OF THE VENUE, KEEP NOISE LEVELS TO A MINIMUM AND LITTER LEVELS TO ZERO.
5A.3. You are responsible for any items you bring into the Venue, you do so at your own risk, and that we shall not have any responsibility for damage, theft, or loss. You may bring your own food and beverages, but please keep all food and liquids away from the pool table and AV equipment. If there are any spillages, make sure they are cleaned up immediately. Paper towels and cleaning supplies can be found in the sanitation station; Alcohol is subject to fair use policy and should be consumed in moderation. Compliance with applicable laws governing the consumption and serving of alcoholic beverages and the associated liability are solely your responsibility; You confirm that any items brought into a Social Cues are compliant with all safety standards and does not pose a risk to the operation and welfare of the furnishings, structure, equipment, lighting, power or any other amenities provided by Social Cues, as part of your Reservation; You may not bring any illegal, illicit, dangerous or hazardous items, substances or materials onto Social Cues premises which includes but are not limited to illegal drugs, nitrous oxide, knives, guns or weapons, fireworks, sparklers or anything that creates an open flame, any kind of fog or smoke machines.
5A.4. It is your responsibility to remove all your personal belongings or other materials brought by you into a Social Cues and place all garbage in bins provided before leaving the premises. Items left in the venue after your Reservation may be discarded at our discretion and without liability.
5A.5. You take full responsibility for the venue and its contents during your Reservation. You are required to report any suspicious behavior or mistreatment of a Social Cues Venue to us immediately. Venues are fully furnished and designed to be used As-Is. No furniture movement or rearrangement is allowed unless prior approved by the Venue in writing. Additional fees will apply. **Pool table cannot be moved or removed; You agree not to damage any equipment or other property made available at or by Social Cues, and that you shall compensate us for any such damage without limitation of cost; This includes, but is not limited to, equipment in communal corridors, restrooms or in external communal areas; You must immediately report to us any damaged or missing equipment found by you on the premises of a Social Cues by email, text message or by telephone, failing which, you may be charged for such loss or damage.
5A.6. You and any individuals who accompany you agree that We preserve the right to use/post/repost on social media any images/videos/visual content taken during your Reservation at any Social Cues venue which have been posted, shared, and/or displayed in any way in the public realm inclusive of but not limited to: social media platform(s), blog(s), any other web based sources. You agree We have the right to alter the images and/or videos and You waive the right to inspect or approve the final content. You and any individuals who accompany you waive any right to payment, royalties, or any other consideration for the use of the content. Social Cues is hereby held harmless and released and forever discharged from all claims, demands, and causes of action which You or any individuals who accompany you, your/their heirs, representatives, executors, administrators, or any other persons acting on Your/their behalf or on behalf of the Your/their estates have or may have by reason of this authorization.
5A.7. No smoking, vaping or drug use inside the venue; open flame(s) and/or cooking are expressly forbidden (no Social Cues Venues have kitchen facilities); nothing may be hung on walls or from ceilings and or fixtures; Confetti and confetti cannons are strictly prohibited; You agree not to tamper with, damage, move, obstruct or otherwise impair or attempt to impair the normal operation of any CCTV equipment; you agree not to tamper with, damage or cover up any fire alarms or fire safety equipment.
5A.8. Lewd, obscene, indecent, vulgar, sexually explicit behavior is prohibited. Definition of such is solely determined by Social Cues.
5A.9. Conducting or participation in wagering, betting, gambling and/or use of casino games or gambling devices in any Venue or communal area is prohibited.
5A.10. Your Reservation solely entitles you to the use of the area contained inside of the Venue. Entrance and exit doors must be kept closed and may not be propped open. LOITERING OR CONGREGATION OUTSIDE THE VENUE OR IN COMMUNAL AREAS IS NOT PERMITTED AND NOISE MUST BE KEPT TO A MINIMUM WHEN LEAVING OR IN COMMUNAL AREAS OR OUTSIDE THE VENUE. Photographers and videographers are not permitted to shoot outside of the Venue.
5A.11. No commercial use of the Social Cues name, space, images, photography, or depiction of the Venue(s) without our express written authorization.
5A.12. Sale of tickets, alcohol, food, merchandise and/or goods are strictly forbidden.

5A.13. Ensure the venue door is fully closed and securely locked at the end of your booking. You will be liable for any theft or damage that arises from your failure to secure the Venue at the end of your reservation as well as fines detailed in section 5B.1.
5A.14. Before leaving the premises, it is your responsibility to leave the venue in a similar condition to how you found it which entails bagging up all trash and wiping up spills and/or sticky surfaces. General cleaning, sweeping and mopping will be handled by Social Cues. DO NOT TAKE TRASH OUTSIDE OF THE VENUE – trash is to be bagged and left inside the venue for removal by Social Cues. DO NOT LEAVE TRASH ON THE CARPETS.

5A.15. HOUSE RULES

  • No smoking of any kind (including but not limited to hookah, vapes, E-cigarettes, marijuana, cigarettes, cigars)

  • No furniture rearrangement or removal
  • No food and drinks on the pool table
  • No sitting or standing on the pool table
  • Pool table can’t be moved or removed
  • No beer pong
  • No DJs, PA systems, or external speakers
  • No confetti or glitter bombs
  • No open flame or cooking
  • No ticket sales or open house
  • No paint & sip
  • Clean after yourself
  • Discard brought-in items in the designated bins
  • Leave the venue in the condition you found it
  • Be respectful of neighbors; keep noise to a minimum while outside
  • Do not congregate on the street

5B. Where there has been a breach of clause 5A, Social Cues may, at Our sole discretion, immediately terminate of your Reservation and remove You and your guests from the Venue without liability and or refund. These fines are applicable and enforceable in any case where there has been a breach of clause 5A and are without financial limitation of the fine or penalty imposed. Fines and penalties will run concurrently until a total amount has been ascertained. Social Cues reserves the right to charge the full fine or penalty cost without discount, unless expressly agreed otherwise writing. These fines are payable without prejudice to the indemnity in clause 8 or our ability to claim for damages generally. Fines include but are not limited to the following:

5B.1. Excessive mess in any Venue or communal area arising from the Reservation; failure to follow instructions regarding removal of garbage from Venue; use of confetti or confetti cannons in Venue or communal area; tampering, damaging, obstructing and/or disabling CCTV equipment; tampering, damaging, obstructing and/or disabling fire alarms or fire safety equipment; damage to equipment when being used against its normal operation causing a malfunction: ($250). Damage to or spills on the pool table felt, smoking, vaping, E-cigarette use anywhere inside a Social  Cues Venue or communal area; failure to secure the venue upon leaving; unauthorized movement of pool table and/or rearrangement or removal of furniture; sitting/standing/ dancing on the pool table or use of the pool table for anything other than playing billiards; playing water pong or beer pong at any Venue; breaching the maximum capacity of Venue; unauthorized use of a DJ or speaker system; congregation, loitering and/or excessive noise outside a Venue or in a communal area; unauthorized breach of confirmed guest count: ($500). Use of hookah, smoke machines, fireworks, sparklers, open flames in any Venue or communal area; lewd, obscene, indecent, vulgar, and/or sexually explicit behavior including but not limited to exotic dancing, stripping, prostitution, real or simulated sex acts in any Venue or communal area; conducting or participation in wagering, betting, gambling and/or use of casino games or gambling devices in any Venue or communal area; real money transactions / sales of any kind at any Venue or communal area; any other breach of the Terms: ($1000). Unauthorized overtime (failure to vacate Venue at the Reservation end time without a confirmed extension) will be charged double your contracted hourly rate.
5B.2. You will be liable for: the cost of any complaints, violations, or summons as well as any legal fees incurred by the Venue resulting from your Reservation; double the actual repair or replacement cost (without deduction for depreciation) of any equipment damaged while being used against its original purpose, or damaged by negligence during the time of your Reservation; double the actual cost to repair or replace any art, décor, structure, fixtures, furniture and/or other contents of the venue that are damaged during the time of your Reservation; cost of all lost revenue and/or potential revenue while Venue cannot be booked due to repair or replacement of damaged property plus $500 per day for inconvenience to other potential clients and loss of reputation / goodwill.

6. Music Policy

6A. Social Cues private lounges operate as private rental spaces, not public entertainment venues. Our lounges are available solely for private, invite-only gatherings such as birthdays, showers, or celebrations. All bookings must be non-commercial and invite-only for family & friends — not accessible to the general public or ticketed. Guests may play music for private enjoyment only – DJs, live performances, and/or amplified sound are NOT permitted. You and your guests must comply with copyright and streaming platform terms when playing/transmitting music from your personal devices. Private gatherings are not accessible to the public and no admission, ticket sales and/or cover charges occur, as such, performing right organization licenses (e.g. BMI/ASCAP/SESAC/GMR) are generally not required. You, the booking client, are responsible for ensuring that music use remains for private enjoyment only and not used in a commercial context. By booking this space, you acknowledge that you are hosting a private invite-only gathering; should there be a breach of the afore mentioned terms, you assume responsibility for music copyright & licensing infringement and any associated fines/penalties incurred as a result of your rental period.
6B. Social Cues provides a TV, speaker system and two microphones for your use during your booking. You may wirelessly connect your own device to the TV and sound system using Chromecast. Bluetooth or wired connections (HDMI, AUX, USB, XLR, Optical etc), are not available. You must use the in-house sound system provided and are NOT permitted to bring additional audio equipment including but not limited to: mixers, CDJ, soundboards, amplifiers, speakers etc.
6C. You may play your own music from your personal devices (phones, tablets, etc) using the TV and speaker system provided in the lounge by connecting via Chromecast. All music must come from your personal account for private enjoyment only. Use of personal subscriptions of streaming accounts must comply with their respective terms of service and copyright laws. Social Cues assumes no responsibility or liability for guest-provided content including but not limited to licensing or music rights.
6D. Social Cues provides an iPad with a licensed commercial music subscription from Soundtrack (formerly Spotify for Business) for you to play background music during your rental period. Social Cues does not play, perform or transmit any music or content – the decision to play music or content is solely at your discretion. Soundtrack includes ASCAP, BMI and GMR licenses.
6E. Social Cues provides access to karaoke free of charge with your booking as an ancillary amenity. Karaoke is an app by Karafun Professional that can be accessed on the Social Cues iPad and covers content licensing for all songs included in the catalog. Karaoke is solely for private enjoyment during your non-commercial and invite-only private gathering – you may not charge a fee, sell tickets, advertise/open the venue to the public.

7. Cancellation / Rescheduling

7A. Reservations and payments are non-refundable with the exception of deposits for incidentals and Force Majeure Events as defined in section 7F.
7B. Reservations may not be rescheduled once confirmed.
7C. Reservations are non-transferable – once confirmed, Venue changes are not permitted.
7D. If you arrive late or do not show up for your Reservation, we cannot reschedule, offer a complimentary extension or issue a refund. Responsibility for arriving at your reservation during the confirmed rental period is yours.
7E. In the event we need to reschedule or cancel your Reservation, we will contact you by email or telephone to inform you. We will offer you alternative date(s)/time(s)/Venue(s) of equal or greater value, or a refund of the Reservation fee.
7F. A Force Majeure Event refers to the following situations that occur after booking, are unforeseen at the time of booking, and prevent or legally prohibit completion of the reservation.

7F.1. Government declared local or national emergencies, epidemics, pandemics, and public health emergencies. As of March 7, 2022, circumstances related to the COVID-19 pandemic and any variants thereof are no longer considered a Force Majeure Event.
7F.2. Travel restrictions and/or unexpected changes to visa or passport requirements imposed by a governmental agency that prevent or prohibit you from traveling to or returning from the Venue. This does not include non-binding travel advisories and similar government guidance; lost or expired travel documents; other personal circumstances relating to your authorization to travel.
7F.3. Acts of war, hostilities, invasions, civil war, terrorism, explosions, bombings, rebellions, riots, insurrection, civil disorder, and civil unrest occurring within reasonable proximity to the Venue.
7F.4. Natural disasters, acts of God, large-scale outages of essential utilities, volcanic eruptions, tsunamis, and other severe and abnormal weather events directly affecting the Venue and/or vicinity. This does not include weather or natural conditions that are common enough to be foreseeable (e.g. rain, sleet, snow, ice) unless such conditions cause a Government issued stay at home order and/or the mass closure of roads and/or public transportation.
7F.5. These Terms only allow for cancellations with refund for the Force Majeure Events described above. Everything else is excluded. Examples of situations which are not Force Majeure Events include but are not limited to: unexpected disease, illness, injury or death; government obligations like jury duty, court appearances or military duties; travel advisories or other government guidance (that fall short of a travel ban or prohibition); cancellation or rescheduling of an event for which the Reservation was made; lack of expected guest turnout for your Reservation; and transportation disruptions unrelated to a covered Event such as road closures/delays or flight, train, subway, bus and/or ferry cancellations. If you cancel a reservation in these cases, no refund will be issued.
We shall not be liable hereunder for any delay or failure to perform our obligations as a result of a Force Majeure Event. If the Force Majeure Event prevents us from providing any of the Services hereunder for more than four (4) weeks, we shall, without limiting our other rights or remedies, have the right to terminate the Services or our agreement with you by written notice.

7D. We preserve the right to cancel your current reservation and/or decline any future requests to book if you: breach any of these terms; defame Social Cues in any medium; threaten, harass or harm any member of our staff; refuse to pay amounts due; dispute any payments related to your booking; damage the venue in any way; damage the reputation of Social Cues.

8.Limitation of Liability

8A. Notwithstanding any damages that you might incur, the entire liability of Social Cues and any of its suppliers under any provision of these Terms and your exclusive remedy for all of the foregoing shall be limited to the lesser of the amount actually paid by you through the Service or 100 USD if you haven’t purchased anything through the Site.
8B. To the maximum extent permitted by applicable law, in no event shall Social Cues or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
8C. Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.
8D. We are not liable for business losses. If you are a consumer, we only supply the Services for domestic and private use. If you use the Services for any commercial, business purpose we will have no liability to you for any loss of profit, loss of data, loss of business, business interruption, or loss of business opportunity.

9.Indemnity

9A. You hereby agree to indemnify, defend and hold us and our officers, directors, owners, employees, contractors, agents, information providers, affiliates, licensors and licensees, (collectively, the “Indemnified Parties”) harmless from and against any and all damage, loss, liability, expenses and costs (including reasonable legal fees) incurred by the Indemnified Parties in connection with any claim arising out of: any fraud or fraudulent misrepresentation you commit; any inaccuracy or defect in any of the information you have provided to us; any breach by you of applicable law or regulation; any breach by you of these Terms; third party claims arising from your use of the Services (whether or not such use was by you) and any of your Reservations.

9B. You shall cooperate with us in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

10. General

10A. These Terms, together with the Privacy Policy and any instructions, guidance and similar information found on the Site, constitute the entire agreement between you and Social Cues relating to your use of the Site and Services, to the exclusion of any other terms.
10B. We reserve the right to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice prior to any new Terms taking effect. What constitutes a material change will be determined at our sole discretion.
10C. By continuing to access or use the Site after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new Terms, in whole or in part, you must stop using the Site.
10D. We reserve the right to modify amend, terminate or otherwise our offered venues, amenities, pricing, and/or promotions at any time at our sole discretion.
10E. Our failure to enforce any term does not constitute our waiver of that term.
10F. If any part of these Terms is found to be unenforceable, it will be amended to the minimum extent necessary to make it enforceable and the remainder of the provisions will remain in full force and effect.
10G. Social Cues will be entitled to assign and otherwise transfer the agreement covered by these Terms by giving you reasonable notice, which may include notice given via the Site.
10H. These Terms shall be construed in accordance with the laws of the State of New York (without regard to conflicts of laws principles), and the obligations, rights and remedies of the parties hereunder shall be determined in accordance with such laws. Your use of the Services may also be subject to other local, state, national, or international laws.
10I. You agree and understand that any payments, charges and fees for your booking are irrevocable, non-refundable and may not be charged back, contested or challenged nor or in the future. By signing this agreement You agree that You will no, under any circumstances, issue or threaten to issue any chargebacks to Social Cues or to Your credit card and/or form of payment (ie. Zelle) for any reason. Doing so is a material breach of this agreement for which We would be entitled to attorney fees, costs and fees associated with addressing a chargeback in addition to the amount challenged. In the event of a chargeback, We reserve the right to report it to the credit bureaus as a delinquent account.

10JIf you have any concern or dispute about the Services, payment and/or charges, you agree to first try to resolve the dispute informally by contacting us. In the event that informal efforts to resolve disputes are unsuccessful, any dispute between the parties shall be determined not in a court of law, but instead by arbitration in the county of Kings, New York City, New York before a single arbitrator of the American Arbitration Association (“AAA”). The arbitrator shall be selected by application of the rules of the AAA, or by mutual agreement of the parties, except that such arbitrator shall be an attorney admitted to practice law New York. No party to this agreement will challenge the jurisdiction or venue provisions as provided in this section. No party to this agreement will challenge the jurisdiction or venue provisions as provided in this section. Nothing contained herein shall prevent the party from obtaining an injunction.

Notwithstanding the foregoing, any dispute, claim or controversy under $25,000 in value arising out of or relating to this agreement, or the breach thereof, shall be settled by arbitration administered by FairClaims (http://www.fairclaims.com) in accordance with its Arbitration Rules & Procedures effective at the time a claim is made, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

The Parties consent to electronic service of process, with service to be made to the following email address info@socialcues.com and your email address on file. The Parties agree that, in the event of confirmation and enforcement, the delinquent party will be responsible for any attorney, court or other fees associated with such action.

The party responsible for payment of FairClaims fees will be determined during arbitration.

10K. These Terms and Conditions may have been translated if we have made them available to you on our Service. You agree that the original English text shall prevail in the case of a dispute.
